GuardKat (“we”, “us”, “our”) is committed to providing a secure and ethical platform for case reporting and management. These Terms of Service outline the rules, responsibilities, and conditions for using GuardKat as we evolve the service. By accessing or using GuardKat, you agree to these Terms and our Privacy Policy.
These Terms govern access to and use of GuardKat and form part of your agreement along with the Privacy Policy.

Pilot / Early Access

GuardKat may be provided to select organizations as part of a pilot or early access program. During this period, certain features may evolve based on feedback. GuardKat is designed for real‑world use, but pilot participation helps us refine workflows, usability, and reporting capabilities before broader availability.

Overview & Contracting Parties

1.1. GuardKat provides an ethical case reporting and case management platform designed to help organizations foster safe, inclusive, and accountable environments.

1.2. These Terms of Service govern access to and use of GuardKat by Organizations and End Users.

1.3. Parties: Organizations (customers) and their authorized End Users (reporters, reviewers, administrators) operating under an Organization’s account.

1.4. By accessing or using GuardKat, you agree to be bound by these Terms and the Privacy Policy.

Key Definitions

Definitions

Report / Case: A submission describing a concern (e.g., misconduct, discrimination, safety or ethical violation) and associated details, attachments, and communications.

Reporter: An End User who submits a report, anonymously or identified.

Reviewer: An End User authorized by the Organization to triage, investigate, and resolve cases.

Administrator: An End User who configures roles, workflows, and access within the Organization’s tenant.

Organization Data: Data owned or controlled by the Organization, including reports, case activity, analytics, and configuration.

Eligibility & Accounts

3.1. GuardKat is intended for Organizations (e.g., enterprises, factories, hospitals, educational institutions, events, government entities, nonprofits) and their authorized Users.

3.2. Organizations designate administrators to create their tenant and invite Users. Organizations are responsible for accurate account data, least-privilege roles, and User lifecycle management.

3.3. Users must keep credentials confidential and use approved authentication methods. Suspected compromise must be reported without undue delay.

Acceptable Use

Use GuardKat lawfully, in good faith, and consistent with workplace ethics.

4.1. Bypassing or attempting to bypass security, rate limits, or access controls.

4.2. Uploading malware or disrupting service integrity.

4.3. Submitting knowingly false or malicious reports.

4.4. Harassing, threatening, or defaming any person via the platform.

4.5. Scraping, bulk exporting, or repurposing platform data beyond permitted uses.

4.6. Using GuardKat for emergency response or life-safety incidents.

4.7. GuardKat may suspend access for violations.

4.8. GuardKat will cooperate with the Organization to remediate misuse.

Reporting, Anonymity & Communications

5.1. Reporters may submit concerns anonymously or identified. Anonymity may be limited by applicable law, court orders, or imminent safety risks.

5.2. Secure in-platform messaging enables communications between reporters and authorized reviewers; professional conduct is required.

5.3. Upload only content you are entitled to share. Avoid sensitive third-party data except where necessary and permitted by law or policy.

Configuration, Roles & Workflows

6.1. Organizations may configure branding, custom fields (by department/location), granular roles and permissions, and workflows with timelines and escalations.

6.2. Access is role-based; Organizations must enforce least-privilege and ensure only authorized personnel can view or manage case data.

6.3. Activity and security events are logged for accountability and monitoring.

Data Protection & Privacy

7.1. Processing of personal data is described in the Privacy Policy, which forms part of these Terms.

7.2. Encryption at rest and in transit, plus granular role-based access, are implemented; controls are continuously improved.

7.3. Compliance roadmap includes GDPR alignment, SOC 2, and ISO 27001; no certifications are currently claimed.

7.4. Hosting region: Microsoft Azure — Central India. Material changes to processing locations will be communicated to the Organization.

Analytics, Reports & Educational Content

8.1. Aggregated and role-appropriate insights (operational metrics, department/location trends, organization-wide analytics) help identify patterns and inform corrective actions.

8.2. Blogs and videos promote awareness of workplace norms and ethical conduct. Guidance is informational; Organizations remain responsible for policies and enforcement.

Data Retention & Read-Only Access

9.1. Organization Data is retained for the duration of the active service or pilot period.

9.2. If an organization does not continue, read‑only access is provided for up to two (2) months to review historical data.

9.3. After this period, data may be retained for up to two (2) years to allow service resumption, unless earlier deletion is requested or required by law.

9.4. Verified deletion or minimization requests will be honored, subject to legal, contractual, and safety obligations.

Service Scope, Availability & Support

10.1. Service is provided “as is”; features and limits may change based on feedback.

10.2. Availability may be affected by maintenance, updates, dependencies, or external factors.

10.3. GuardKat is not an emergency service; for imminent risks, contact local authorities immediately.

Third-Party Services

11.1. GuardKat relies on third-party services (e.g., Microsoft Azure infrastructure).

11.2. Third-party terms may apply. GuardKat is not responsible for external sites or services not under its control.

Intellectual Property & Feedback

12.1. GuardKat owns the platform, software, and documentation; Organizations own their Organization Data.

12.2. The Organization grants GuardKat a limited, non-exclusive license to process Organization Data solely to operate, secure, and improve the service.

12.3. Feedback or suggestions may be used by GuardKat under a non-exclusive, worldwide, royalty-free license to improve the service.

Fees & Billing

13.1. Participation may be free or discounted, per GuardKat’s offering.

13.2. Any paid terms will be defined in an Order Form or Agreement.

13.3. Fees, if applicable, are non-refundable unless otherwise required by law or agreed in writing.

Warranties, Disclaimers & Limitation of Liability

14.1. GuardKat is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

14.2. Liability cap: GuardKat’s total liability will not exceed the greater of INR ₹100,000 or the fees actually paid to GuardKat in the 12 months prior to the claim, to the maximum extent permitted by law.

14.3. GuardKat is not liable for indirect, incidental, special, consequential, or exemplary damages, or lost profits.

14.4. The Organization agrees to defend, indemnify, and hold harmless GuardKat from claims arising out of misuse, breach of these Terms, violations of law, or data/content provided by the Organization or its Users.

15

Suspension & Termination

15.1. GuardKat may suspend or terminate access for violations, to protect security or integrity, or where required by law.

15.2. Organizations may terminate service at any time; access and retention follow Section 9.

16

Changes to These Terms

16.1. Terms may be updated to reflect changes in practices or legal requirements.

16.2. Material changes will be communicated (e.g., banner notice or email).

16.3. The Last Updated date shows the current version.

17

Governing Law & Dispute Resolution

17.1. These Terms are governed by the laws of India.

17.2. Courts located in Kochi, Kerala have exclusive jurisdiction, except GuardKat may seek injunctive relief in any competent court.

17.3. Unless otherwise agreed in writing, if you operate outside India, you agree to the applicability of Indian law for platform use.

19

Miscellaneous

19.1. Entire Agreement: These Terms, the Privacy Policy, and any Order Form constitute the entire agreement for use.

19.2. Severability: If any provision is unenforceable, the remainder remains in effect.

19.3. Assignment: You may not assign these Terms without GuardKat’s written consent.

19.4. No Waiver: Failure to enforce any provision is not a waiver.
